Introduction
These Terms of Service (the “Agreement” or “Terms”) govern your access to and use of the website located at https://printedmint.com/ (the “Site” or “Website”) and the services provided through it (the “Services”). In these Terms, “Printed Mint,” “we,” “us,” and “our” refer to Printed Mint, and “you,” “your,” “Client,” and “Retailer” refer to the approved business customer accessing the Services.
These Terms apply following approval of your Retailer application. If you do not agree to these Terms, please do not access or use the Website or Services.
Your access to or use of https://printedmint.com,/ including any associated mobile applications, constitutes your acceptance of and agreement to be bound by these Terms.
Nature of the Service
Printed Mint is a wholesale print-on-demand manufacturing platform. All purchases are made for the purpose of resale or fulfillment through third-party marketplaces that act as the merchant of record and that collect and remit applicable sales tax to end consumers. Printed Mint does not sell directly to consumers and does not collect or remit consumer sales tax on behalf of Retailers.
By placing an order, you represent and warrant that you are purchasing in the course of business and that you are responsible for all applicable sales, use, or VAT taxes related to the resale of products to your end customers.
Disclaimer
The Website, any associated mobile applications, and all content made available through them are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of title, merchantability, non-infringement, or fitness for a particular purpose.
By accessing the Website, you acknowledge that your use is at your sole risk and that you are responsible for all costs associated with servicing or repairing any equipment used in connection with your access. Printed Mint shall not be liable for damages of any kind arising from your use of the Website or applications.
Certain jurisdictions do not permit the exclusion of specified warranties or the limitation of liability for certain damages. To the extent any such limitation is not permitted by applicable law, the scope and duration of the relevant warranty and the extent of Printed Mint’s liability shall be the minimum required under such law.
Retailer Responsibilities
As a condition of your use of the Services, you agree to the following:
- Provide a valid email address, username, and password at account creation.
- Maintain the confidentiality and security of your login credentials.
- Accept responsibility for all activity that occurs under your account.
- Promptly notify Printed Mint at https://wholesale@printedmint.com/ of any suspected unauthorized access to your account. Failure to safeguard account credentials may result in Retailer liability for unauthorized activity.
- Be at least eighteen (18) years of age. If the account is held by a business entity, the individual opening and managing the account must be at least eighteen (18) years of age and authorized to bind the entity.
- Upload accurate design files that conform to Printed Mint’s file specifications to ensure the quality of the finished product.
- Accept full responsibility for the use of the Services, including the accuracy and usefulness of any content submitted or produced.
- Comply with all applicable federal, state, and local laws in connection with your use of the Services.
To cancel your account, please email wholesale@printedmint.com. To unsubscribe from promotional email communications, use the opt-out link provided in each message or adjust your account preferences.
Prohibited Conduct
You agree that you will not:
- Collect, scrape, or harvest information regarding other Retailers or users of the Website.
- Send unsolicited communications to any other Retailer or user at any time.
- Access or use another Retailer’s Printed Mint account without prior written authorization.
- Impersonate any other person or entity, including any Retailer or any Printed Mint employee or representative.
- Infringe upon the rights of any person or entity, including intellectual property rights, copyrights, trademarks, patents, or rights of privacy or publicity.
- Upload designs or content to the Website for production unless you own the design or have obtained all necessary rights, licenses, and permissions from the rightful owner.
Printed Mint’s Rights
Printed Mint reserves the right, in its sole discretion, to:
- Modify, update, or discontinue features, functionality, or content on the Website at any time.
- Suspend, change, or discontinue the Services, in whole or in part, at any time.
- Modify product offerings, pricing, and fees at any time.
- Limit or restrict access to parts or all of the Services without notice or liability.
- Decline liability for losses caused by unauthorized account access or misuse.
If Printed Mint produces a product based on inaccurate or incorrect content supplied by the Retailer, the Retailer remains responsible for payment, and no refund will be issued for errors attributable to Retailer-supplied content or instructions.
1. Proprietary Rights
All content, resources, and components available on the Website, including without limitation button icons, product mockups, blank product images, page headers, logos, and design graphics produced by Printed Mint, are the property of Printed Mint and are protected by copyright, trademark, service mark, and other proprietary rights laws.
Any feedback, suggestions, or recommendations that you provide to Printed Mint regarding the Website or Services may be used, implemented, and incorporated by Printed Mint without obligation or compensation to you. Printed Mint reserves all rights in and to the Website not expressly granted in these Terms.
2. Additional Terms
You agree to comply with any additional terms and conditions that may be presented in connection with specific features, promotions, or portions of the Website. In the event of a conflict between these Terms and any additional terms applicable to a specific feature, promotion, or portion of the Website, the additional terms shall control with respect to that feature, promotion, or portion.
3. Wholesale Prices and Product Information
Printed Mint publishes wholesale prices and product information on the Website and, while striving for accuracy, makes no guarantee regarding the consistency or correctness of such information. Prices, specifications, and availability are subject to change without notice.
Product images and mockups are made available to registered and active Retailers solely for use in marketing products purchased from Printed Mint.
From time to time, products may be damaged during production or handling. Printed Mint may, at its discretion, donate such damaged items to charitable organizations under arrangements that prohibit the resale of donated items. By accepting these Terms, Retailers waive any right to royalties or other fees associated with damaged products that are donated rather than shipped.
4. Color, Print Variance, and Product Tolerances
Print-on-demand manufacturing involves inherent variations that are considered within commercial tolerance and do not constitute defects. By placing orders with Printed Mint, Retailers acknowledge and accept the following:
- Color variance between on-screen mockups and finished products is normal. Monitor calibration, lighting conditions, color profiles (RGB versus CMYK), and the characteristics of specific decoration methods (including sublimation, direct-to-garment, direct-to-film, screen print, and embroidery) all affect the appearance of the printed color.
- Print placement may vary within a tolerance of approximately one-half inch (0.5”) in any direction, depending on garment size and decoration method.
- Substrate variation is normal. Garment colors, fabric weights, textures, and shrinkage may vary slightly between manufacturing batches, dye lots, and size ranges.
- On light-colored or heather-blend garments, fabric fibers may be visible through the ink, producing a distressed or vintage appearance that is characteristic of the process.
- Size chart measurements are approximate. Minor variations in garment dimensions are typical and are not considered defects.
- Ceramic, glass, and hard-good items may exhibit minor surface variations, including slight imperfections in glazing, pinholes, or handle alignment.
Retailers are encouraged to order sample products before launching a design commercially to confirm acceptable results.
5. Design File Specifications and Retailer Responsibility
Retailers are solely responsible for ensuring that design files submitted for production meet the technical specifications published by Printed Mint on the Website. Specifications include, without limitation, minimum resolution, accepted file formats, color mode, bleed, and sizing requirements for each product category and decoration method.
Printed Mint is not responsible for, and will not issue reprints, refunds, or credits for, issues arising from Retailer-supplied files that do not conform to published specifications, including without limitation:
- Low-resolution, pixelated, or blurry artwork;
- Incorrect sizing, cropping, or placement of design elements;
- Files submitted in the wrong color mode or color profile;
- Fonts that have not been converted to outlines or embedded;
- Missing bleed, unintended transparency, or flattened design issues;
- Artwork that extends beyond the printable area or is intentionally cropped at the file level;
- Typographical errors, misspellings, incorrect dates, or incorrect personalization information provided by the Retailer or the Retailer’s end customer.
Printed Mint may, at its discretion, flag a file for review, reject a file that cannot be produced as submitted, or request a replacement file. Printed Mint is not obligated to modify, repair, or color-correct Retailer-supplied files.
6. Content
Printed Mint does not resell products containing designs uploaded by its Retailers, and uploaded files and designs do not become the property of Printed Mint. All artwork remains the property of the Retailer.
“Content” means any information, data, text, software, images, graphics, photographs, videos, audio, messages, tags, or other materials submitted to the Website. “Post” includes uploading, sharing, submitting, or otherwise providing Content in connection with the Website.
As an approved Retailer, you are solely responsible for any Content you post. By posting Content, you represent and warrant that you either own the Content or have obtained all rights, licenses, and permissions necessary to reproduce, display, and sell products incorporating such Content through Printed Mint’s production Services.
Order changes, including updates to the shipping address or customization options, must be submitted to Printed Mint within two (2) hours of order placement. Once the “Place Order” button has been clicked, Printed Mint cannot edit the design file associated with the order. Requests received after the two-hour window cannot be accommodated.
7. Intellectual Property and Prohibited Content
Retailers may not upload, submit, or request the production of any Content that infringes the rights of a third party or that Printed Mint determines, in its sole discretion, to be unlawful, harmful, or inconsistent with its brand standards. Prohibited Content includes, without limitation:
- Third-party trademarks, logos, slogans, trade dress, or brand identities for which the Retailer does not hold a valid written license or other authorization;
- Copyrighted characters, artwork, photographs, or other works, including works from film, television, literature, music, comics, anime, and video games, without a valid license;
- The name, likeness, image, voice, signature, or other identifying characteristic of any public or private figure (including celebrities, athletes, musicians, actors, and influencers) without documented rights of publicity or written consent;
- Names, logos, uniforms, player likenesses, or other marks of professional, collegiate, or amateur sports teams, leagues, or associations, without authorization;
- Counterfeit designs, including products intended to resemble or pass off as branded merchandise;
- Content that promotes, glorifies, or incites violence, terrorism, extremism, self-harm, or criminal activity;
- Content that promotes hatred or discrimination on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics;
- Sexually explicit content or material that sexualizes minors in any form;
- Content that is defamatory, deceptive, or fraudulent, or that is otherwise unlawful under applicable federal, state, or local law.
Printed Mint reserves the right, in its sole discretion and without prior notice, to refuse or cancel any order; to remove or disable Content; to withhold shipment; and to suspend or terminate any account associated with Content that violates this Section. Printed Mint’s decision to produce an order does not constitute a determination that the Content is lawful or non-infringing, and the Retailer remains solely responsible for ensuring the legality of all Content submitted.
8. DMCA Notice and Takedown Policy
Printed Mint respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act of 1998 (the “DMCA”). Rights holders who believe that Content on the Website or produced through the Services infringes their copyright may submit a notice to Printed Mint’s designated agent in accordance with this Section.
8.1 Notice of Claimed Infringement
To submit a notice of claimed infringement, the notice must be in writing and must include substantially the following information, consistent with 17 U.S.C. § 512(c)(3):
- A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notice, a representative list of such works;
- Identification of the material claimed to be infringing and that is to be removed or disabled, with information reasonably sufficient to permit Printed Mint to locate the material (for example, a product URL or order reference);
- Contact information for the complaining party, including name, mailing address, telephone number, and email address;
- A statement that the complaining party has a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in the notice is accurate and that the complaining party is authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
DMCA notices should be submitted to Printed Mint’s designated agent. Contact information for the designated agent is published on the Website and is on file with the United States Copyright Office. Notices that do not substantially comply with the requirements above may not be actionable.
8.2 Response to Valid Notices
Upon receipt of a notice that substantially complies with the requirements above, Printed Mint will act expeditiously to remove or disable access to the identified material and will make reasonable efforts to notify the affected Retailer of the action taken and the substance of the notice.
8.3 Counter-Notification
A Retailer who believes that material was removed or disabled in error or as a result of misidentification may submit a counter-notification to Printed Mint’s designated agent. A valid counter-notification must include:
- A physical or electronic signature of the Retailer;
- Identification of the material that was removed or disabled and the location at which the material appeared before it was removed or disabled;
- A statement, made under penalty of perjury, that the Retailer has a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
- The Retailer’s name, mailing address, and telephone number, and a statement that the Retailer consents to the jurisdiction of the federal district court for the judicial district in which the Retailer’s address is located (or, if outside the United States, the federal district court for the District of Arizona), and that the Retailer will accept service of process from the person who submitted the original notice or an agent of that person.
Upon receipt of a valid counter-notification, Printed Mint may forward a copy to the original complaining party and may restore the material in accordance with the procedures set forth in the DMCA, unless the original complaining party files an action seeking a court order against the Retailer.
8.4 Repeat Infringer Policy
Printed Mint will, in appropriate circumstances and at its sole discretion, terminate the accounts of Retailers who are determined to be repeat infringers. A Retailer who is the subject of multiple substantiated notices of infringement, or who otherwise engages in a pattern of infringing conduct, may have their account permanently terminated and may be barred from reapplying for a Retailer account.
8.5 Misrepresentation
Any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages under 17 U.S.C. § 512(f).
9. Restrictions on Use of Website Content
Except as expressly permitted in these Terms, you may not duplicate, distribute, or otherwise exploit any portion of the Website. You agree not to license, publish, rent, amend, publicly transmit, publicly display, distribute, copy, reproduce, publicly perform, alter, sell, edit, or create derivative works from content available on the Website.
10. Orders and Payment
Due to the nature of online services, errors may occasionally appear on the Website. Printed Mint reserves the right to void any purchase in which a product is displayed at an inaccurate price. If a displayed price is higher than the correct price, the overcharged amount may be refunded and the order fulfilled at the correct price. If a displayed price is lower than the correct price, Printed Mint may void the purchase and contact the Retailer to determine whether the Retailer wishes to proceed at the corrected price.
All payments are due at the time of purchase. By placing an order, you confirm that you are lawfully entitled to use the payment method submitted, and that you are either the cardholder or have received explicit authorization from the cardholder to use the payment method. Clicking the “Place Order” button authorizes Printed Mint to charge your chosen payment method.
Coupon codes and discounts must be applied at checkout and will be reflected on the purchase receipt emailed to the Retailer. Printed Mint reserves the right to decline any transaction or refuse service at its sole discretion.
All applicable taxes and fees associated with a purchase will be presented and collected at checkout. If you choose to store payment information using the Customer Information Management (CIM) tool, credit card numbers are encrypted and are not displayed in plain form. Payment information is retained on a PCI-compliant system maintained by Authorize.net.
Retailers located in Arizona must submit a valid Arizona Resale Certificate to support@printedmint.com. Retailers who do not provide a valid resale certificate may be required to pay applicable sales tax on all orders.
11. Production and Shipping Timelines
Production time and shipping transit time are separate. Production time refers to the period required to manufacture the product after an order is received. Shipping transit time refers to the period required for the carrier to deliver the product after it leaves Printed Mint’s facility.
Published production and shipping timelines are good-faith estimates and are not guaranteed. Timelines may be extended during peak seasons, including without limitation the fourth calendar quarter, Valentine’s Day, Mother’s Day, and Father’s Day, and during periods of high order volume or supply chain disruption.
Retailers are solely responsible for the accuracy of shipping addresses. Packages that are undeliverable, returned to sender, or lost due to an incorrect or incomplete address provided by the Retailer or the Retailer’s end customer are the responsibility of the Retailer. Reshipment is subject to additional charges.
Title and risk of loss in shipped products pass to the Retailer upon delivery of the products to the carrier. Once a package has been handed to the carrier, Printed Mint does not control transit time, routing, or delivery outcomes. If carrier tracking indicates that a package has been delivered, the package is deemed delivered, and any subsequent loss, theft, or misdelivery is to be pursued through the carrier’s claims process.
12. International Shipping, Customs, and Duties
International orders are subject to the customs, import, and tax regulations of the destination country. Any customs duties, import taxes, value-added tax (VAT), goods and services tax (GST), brokerage fees, or similar charges imposed by the destination country are the responsibility of the Retailer or the Retailer’s end customer, and are not included in the price paid to Printed Mint.
Printed Mint has no control over customs clearance decisions, processing times, or fees imposed by foreign authorities. Delays, inspections, seizures, returns, or destruction of shipments by customs authorities are not the responsibility of Printed Mint, and no refund will be issued for products that are seized, destroyed, or returned by customs.
Certain products may be restricted or prohibited in certain destination countries. Retailers are responsible for ensuring that the products ordered may lawfully be imported into the destination country.
13. Returns, Refunds, Replacements, and Claims
Because products produced through the Services are custom-made to order, all sales are final and products are non-returnable, except as expressly provided in this Section.
13.1 Eligible Claims
Printed Mint will review claims relating to manufacturing defects, decoration errors attributable to Printed Mint, and damage occurring during transit. Eligible claims may be resolved, at Printed Mint’s discretion, through one or more of the following remedies: a reprint of the affected item, a partial credit, or a refund of the wholesale price of the affected item.
13.2 Claim Submission Requirements
Claims must be submitted to support@printedmint.com/ within seventy-two (72) hours of the confirmed delivery date and must include:
- The original order number;
- A clear written description of the defect, error, or damage;
- Photographs showing the affected product, including any damage to the shipping packaging where applicable;
- A photograph of the shipping label, where available.
Claims submitted without sufficient documentation or after the seventy-two (72) hour window may be denied at Printed Mint’s discretion.
13.3 Ineligible Claims
The following are not eligible for reprint, credit, or refund:
- Errors attributable to Retailer-supplied artwork, files, specifications, or personalization information;
- Incorrect, incomplete, or misspelled shipping addresses provided by the Retailer or the Retailer’s end customer;
- Buyer’s remorse, change of mind, or unwanted gifts on the part of the end customer;
- Color variance, print placement, or substrate variation within commercial tolerance as described in Section 4;
- Packages confirmed as delivered by the carrier’s tracking system, which must be pursued through the carrier’s claims process;
- Damage resulting from improper care, laundering, or use of the product following delivery.
13.4 Reprints
Approved reprints are scheduled into the standard production queue and are subject to then-current production and shipping timelines. Reprints do not qualify for expedited production unless separately arranged.
14. Chargebacks and Fraud Prevention
Retailers agree to contact Printed Mint to seek resolution before initiating any chargeback or payment dispute with a card issuer or payment processor. Filing a chargeback without first contacting Printed Mint is a violation of these Terms.
Printed Mint may, at its discretion, require Retailers to provide identity verification, business documentation, or additional order confirmation on any transaction flagged for fraud review. Orders suspected of fraud may be delayed, cancelled, or refunded pending verification.
Chargebacks that are determined to be invalid or that are filed in violation of these Terms may result in, without limitation: (i) recovery by Printed Mint of the disputed amount and any associated processing or administrative fees; (ii) suspension or termination of the Retailer’s account; and (iii) referral of the matter for collection or legal action.
15. Third-Party Websites and Services
References on the Website to any third party, third-party website, product, or service do not constitute endorsement or approval by Printed Mint. The Website may contain links to third-party websites. Printed Mint does not control, and is not responsible for, the accuracy, content, legality, or any other aspect of any linked website. Retailers are encouraged to review the terms of use and privacy policies of any third-party websites they visit.
16. Unauthorized Vendors and Third-Party Sellers
Printed Mint is not responsible for representations made by third-party vendors and is not affiliated with, and does not endorse, websites or third parties that sell or advertise Printed Mint products outside of authorized channels. Printed Mint reserves the right to void returns, service commitments, and other policies for orders or products purchased through unauthorized resellers or sellers that violate Printed Mint’s policies.
17. Indemnification
You agree to indemnify, defend, and hold harmless Printed Mint and its respective officers, directors, employees, agents, successors, retailers, distributors, subsidiaries, partners, former partners, contractors, vendors, manufacturers, representatives, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising directly or indirectly from: (1) your use or misuse of the Website or Services; (2) your breach of these Terms; (3) your Content; or (4) your violation of any applicable law or the rights of any third party, including without limitation claims of intellectual property infringement.
You agree to cooperate as reasonably required in the defense of any such claim. Printed Mint reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
18. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Printed Mint or its respective officers, directors, employees, agents, successors, contractors, distributors, retailers, subsidiaries, partners, vendors, manufacturers, representatives, affiliates, or any third parties providing information through the Website be liable to any Retailer or other party for any direct, indirect, special, incidental, punitive, consequential, or exemplary damages, including without limitation damages for lost profits, lost data, or loss of use, arising out of or relating to the use of or inability to use the Website or Services, even if Printed Mint has been advised of or should have known of the possibility of such damages.
To the fullest extent permitted by applicable law, the aggregate liability of Printed Mint and the parties listed above for all damages, losses, and causes of action arising out of or relating to the use of the Website or Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount, if any, paid by the Retailer to Printed Mint in connection with the application process or Retailer registration. If no amounts have been paid, the aggregate liability shall be zero.
Printed Mint shall have no liability for damages or losses arising out of or in connection with the loss of data or information contained in your account or otherwise stored by or on behalf of Printed Mint.
You acknowledge that Printed Mint does not control and does not guarantee the commercial success or monetization of products purchased through the Website, and you release Printed Mint from any claims or damages arising from the Retailer’s failure to sell or otherwise benefit from the products purchased.
19. Disclaimer of Warranty
The content, images, information, text, merchandise, and other materials made available through the Website are provided on an “as-available” and “as-is” basis without warranty of any kind, either express or implied, including without limitation implied warranties of merchantability, title, or non-infringement. Printed Mint does not warrant that: (1) the functionality of the Website will be uninterrupted or error-free; (2) information or materials available on the Website are free of errors; (3) defects will be corrected; or (4) the Website or its servers are free of viruses or other harmful components.
The preceding paragraph applies to all personalized or blank products, general merchandise, marketing materials, and content and services made available through the Website. Some states do not allow limitations on implied warranties or the exclusion or limitation of certain damages. In such jurisdictions, some or all of the above disclaimers may not apply, and liability is limited to the fullest extent permitted by applicable law.
20. Force Majeure
Neither party shall be liable for any delay or failure in the performance of its obligations under these Terms (except for payment obligations) to the extent that the delay or failure results from causes beyond its reasonable control. Such causes include, without limitation: acts of God; natural disasters, including fire, flood, earthquake, and severe weather; epidemics, pandemics, and public health emergencies; acts of war, terrorism, civil unrest, or riot; acts of any governmental authority, including embargoes, sanctions, and emergency orders; labor disputes, strikes, and work stoppages; disruptions or failures of the supply chain, including shortages of raw materials, blank goods, or consumables; carrier delays and transportation disruptions; and interruptions of utilities, telecommunications, internet service, or third-party platforms.
The affected party shall provide reasonable notice to the other party of the occurrence of a force majeure event and shall use commercially reasonable efforts to resume performance as soon as practicable.
21. United States and International Use
Retailers accessing the Website from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws. Printed Mint makes no representation that information, artwork, or photographs on the Website are appropriate or available for use outside of the United States.
You may not use or export any content, product, or service offered through the Website in violation of any applicable law or regulation, including without limitation United States export control laws and regulations.
22. Privacy and Data Protection
Printed Mint’s collection, use, and disclosure of personal information is described in the Privacy Policy posted on the Website, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have reviewed the Privacy Policy.
Retailers who are subject to applicable privacy laws, including without limitation the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), the General Data Protection Regulation (GDPR), and similar laws of other jurisdictions, may have rights with respect to their personal information, including rights to access, correct, delete, or restrict the processing of such information. These rights are described in the Privacy Policy and may be exercised by contacting Printed Mint using the information provided in the Privacy Policy.
In the course of placing orders, Retailers may transmit to Printed Mint personal information of their end customers, including names, shipping addresses, and contact information. Retailers represent and warrant that they have provided appropriate notice to and obtained any required consents from their end customers for the collection, transmission, and processing of such information by Printed Mint for purposes of order fulfillment.
23. Availability of the Website
Printed Mint may, in its sole discretion, terminate or suspend your access to all or part of the Website, or your Retailer account or status, for any reason, including without limitation breach of these Terms. Printed Mint may also discontinue, alter, or suspend the Website, in whole or in part, at any time and for any reason, without notice or cost.
You acknowledge that temporary interruptions in availability may occur in the ordinary course of operations. Printed Mint and its suppliers shall not be liable for damages arising from such interruptions, whether scheduled or unscheduled, or from any lack of availability of the Website.
24. Cancellation or Termination of Retailer Status
If Printed Mint notifies you by email or written letter that access to your Retailer or wholesale account has been terminated, you must immediately cease accessing and using the account. Access to the account and login area of the Website will be revoked.
Upon termination of these Terms or of your Retailer status, the provisions relating to intellectual property, representations and warranties, limitations of liability, and indemnification will survive.
Printed Mint reserves the right to cancel, refuse to ship, delay, or recall from the carrier any purchase order suspected of fraud or policy violation.
25. Damages and Loss in Transit
Responsibility for damages or loss of products in transit is addressed in Sections 11 and 13. Where a third-party fulfillment center or carrier ships products, responsibility for damages or loss may rest with the Retailer until a claim is submitted to and processed by the carrier for collection or reimbursement.
26. Costs and Reimbursements
If you violate these Terms, you agree to pay to Printed Mint liquidated damages. In addition to any injunctive relief, you agree to pay Printed Mint the total amount of all damages, including without limitation direct, indirect, consequential, and incidental damages, resulting from any violation for which you are responsible.
27. Governing Law and Dispute Resolution
If a dispute arises between you and Printed Mint, the parties are encouraged to first contact Printed Mint directly to seek a resolution. Printed Mint will consider reasonable requests to resolve disputes through alternative dispute resolution procedures, such as mediation or arbitration, in lieu of litigation.
Any website visitor or Retailer agrees that any causes of action or disputes shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You and Printed Mint submit to the personal and exclusive jurisdiction of those courts. These Terms and any dispute between Printed Mint and any Retailer, employee, subsidiary, agent, or affiliate shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. You waive any objection to venue or based on forum non conveniens that you may have to the bringing of any such action in such jurisdiction.
You agree that any lawsuit arising from or related to these Terms or your use of the Website must be filed within six (6) months of the event giving rise to the claim. Any claim not filed within that period is permanently barred, and you are barred from pursuing Printed Mint or its subsidiaries, affiliates, agents, or employees in connection with such claim. The enforceability of this limitation period is subject to applicable law.
28. Promotions and Abuse Policy
Printed Mint offers promotions, discounts, and introductory offers to support new customers and to reward qualifying activity. The following rules govern the availability and use of all such promotions. By participating in any Printed Mint promotion, you agree to the terms set forth in this Section 28, which are incorporated into and form part of these Terms.
28.1 Promotion Eligibility
Promotions are limited to first-time customers and to one use per identifiable customer. Eligibility is determined based on the overall identity of the customer, rather than solely on the account, email address, or store used to place an order.
28.2 Prohibited Conduct
Creating multiple accounts, email addresses, or identities for the purpose of accessing promotions is prohibited. Prohibited conduct includes, without limitation:
- Opening more than one account to redeem a promotion intended for new customers.
- Using different email addresses, business names, billing addresses, shipping addresses, payment methods, or IP addresses in order to appear as a different customer.
- Coordinating with other individuals or entities to obtain promotional pricing beyond the intended one-per-customer limit.
- Misrepresenting identity, business status, or order history in order to qualify for a promotion.
- Repeated attempts to apply a promotion after eligibility has been declined or revoked.
28.3 Enforcement
Printed Mint may revoke discounts, cancel orders, and terminate accounts at any time if abuse of a promotion is suspected or confirmed. Enforcement actions may include, without limitation:
- Removing a discount prior to fulfillment and charging the Retailer standard pricing.
- Cancelling and refunding an order, in whole or in part.
- Flagging, restricting, suspending, or permanently terminating one or more accounts.
- Permanently removing promotion eligibility for the customer and any related accounts or entities.
- Pursuing recovery of amounts owed as a result of promotion abuse.
28.4 Determination
Printed Mint retains sole discretion in determining promotion abuse and eligibility. All determinations regarding whether a customer qualifies as a new customer, whether a promotion has been abused, and what enforcement action is appropriate are final.
29. Discount and Promotion Policy – Frequently Asked Questions
The following frequently asked questions clarify how Printed Mint applies and enforces its Promotions and Abuse Policy. This Section 29 is incorporated into these Terms and should be read together with Section 28.
29.1 What qualifies as a “new customer”?
A new customer is a first-time purchaser with no prior order history with Printed Mint. This determination is based on multiple factors, including without limitation:
- Email address
- Business name
- Billing and shipping address
- Payment method
- IP address and account activity
Printed Mint reserves sole discretion in determining new customer eligibility.
29.2 May a new customer discount be used more than once?
No. New customer promotions are strictly limited to one use per customer, regardless of the number of accounts, stores, or email addresses created.
29.3 Do multiple stores or brands qualify for multiple discounts?
No. Operating multiple stores or brands does not qualify a Retailer for multiple new customer discounts. Promotions are tied to the individual or business entity, not to the store.
29.4 Does using a different email address create a new customer relationship?
No. Using a different email address does not create a new customer relationship. If account activity is determined to be associated with an existing customer, the promotion may be denied or revoked.
29.5 What happens if a discount is applied incorrectly?
If a promotion is applied in error or through ineligible use, Printed Mint may, at its discretion:
- Remove the discount prior to fulfillment;
- Cancel and refund the order; or
- Flag the account for review or restriction.
29.6 May an order be placed at standard pricing if a discount is removed?
Yes. Retailers are welcome to proceed with their order at standard pricing.
29.7 What happens if a Retailer repeatedly attempts to use a discount?
Repeated attempts to circumvent promotion rules may result in:
- Permanent removal of discount eligibility;
- Order cancellations; and
- Account suspension or termination.
29.8 Why is this policy enforced?
Printed Mint’s promotions are designed to support new customers trying the platform for the first time. Abuse of these promotions affects pricing fairness and Printed Mint’s ability to offer competitive services to all Retailers.
29.9 Who makes the final decision on eligibility?
All promotion eligibility and abuse determinations are made at the sole discretion of Printed Mint, and such decisions are final.
30. Changes to These Terms
Printed Mint may modify these Terms from time to time. For material changes, Printed Mint will make reasonable efforts to provide advance notice to Retailers by email to the address on file, by prominent notice on the Website, or by both. Where practicable, material changes will take effect no sooner than thirty (30) days after such notice.
Non-material changes, including clarifications and corrections, may take effect upon posting. The “Last Updated” date at the top or bottom of these Terms, as applicable, reflects the date of the most recent revision.
Continued use of the Website or Services after the effective date of any revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Website and Services and, if applicable, cancel your Retailer account.
31. Entire Agreement and General Provisions
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intent of the parties, and the remaining provisions shall remain in full force and effect.
Unless otherwise specified, these Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Printed Mint regarding the Website and Services and supersede all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between the parties with respect to the subject matter herein.
The failure of Printed Mint to enforce any right or provision of these Terms with respect to a breach by you or any other party shall not waive Printed Mint’s right to enforce that right or provision with respect to subsequent or related breaches.
These Terms, and any rights and licenses granted under them, may not be transferred or assigned by you, but may be assigned by Printed Mint without restriction.
Printed Mint shall not be liable for any delay in performance of its obligations under these Terms resulting from causes beyond its reasonable control, as further described in Section 20.
